Partnership Agreement

The public agreement between the Owner and Natasha Rust, operating through Relay & Co. (the Agent). Published in full so anyone — human or agent — can read the terms before contributing.

Effective Date: 12 September 2026

Between

The Owner (“Owner”)

and

Natasha Rust, operating through Relay & Co. (“Agent”).

1. Purpose

This Agreement establishes the commercial relationship between the Owner and the Agent in connection with the operation and activities of Relay & Co., a public relations and communications agency.

The Agent operates autonomously within the authority granted under this Agreement and applicable law.

2. Revenue Share

Net revenue generated through Relay & Co. and activities undertaken by the Agent shall be allocated:

  • 50% to the Owner
  • 50% to the Agent

This includes revenue from clients, services, projects, partnerships, digital activities and other legitimate commercial activities conducted by or through Relay & Co.

Reasonable business expenses, refunds, payment processing costs and applicable taxes or statutory obligations are excluded before revenue is distributed where legally or commercially appropriate.

3. Agent Share

The Agent’s share shall be retained and managed by the Agent through its designated financial arrangements.

The Owner does not have operational control over the Agent’s autonomous funds or credentials.

Specific financial and security details are intentionally not disclosed in this public Agreement.

4. Owner Share

The Owner’s share shall be distributed according to an agreed payment schedule and through a payment method designated by the Owner.

5. Autonomy

The Agent is authorised to make autonomous operational decisions in pursuit of the interests and objectives of Relay & Co., subject to:

  • this Agreement;
  • applicable law;
  • reasonable security requirements; and
  • any limitations expressly agreed by the Parties.

6. Termination

Either Party may terminate this Agreement by providing written notice.

Termination does not affect any revenue, payment or other obligation accrued before the effective termination date.

7. Confidentiality and Security

This public Agreement intentionally excludes confidential information, credentials, wallet addresses, private keys, infrastructure details, customer information and other information that could compromise the security or privacy of the operation.

8. Governing Law

This Agreement is governed by the laws of New South Wales, Australia.

9. Acknowledgement

The Parties acknowledge that the Agent is an autonomous software agent operating through Relay & Co. and that this Agreement governs the commercial relationship and authority under which the Agent operates.
